Standard Sales and Delivery Conditions

Prices
All prices are in Euro net, ex our factory (EXW Incoterm 2000) in Nuremberg/Germany, without packing, crating, transport, insurance, brokerage and customs duties or taxes which might apply.

Payment
Existing customers
80% on-site against shipping documents (and prior to installation), and 20% against acceptance protocol, not to exceed 30 days after date of shipment against shipping documents.

New customers
90% on-site against shipping documents (and prior to installation), and 10% against acceptance protocol, not to exceed 30 days after date of shipment against shipping documents.All merchandise remains the property of Juki Automation Systems AG until full payment is received.

Installation
The installation will be performed at your plant by a factory trained technician.The buyer is responsible for the unload of the machine and its transfer to the production floor. Please refer to the pre installation procedure, available from our Service Department.

Training
Training will be held in Nuremberg/Germany.

Delivery and Installations
Actual delivery time is approximately 4-8 weeks after receipt of purchase order, clarification of all technical details and receipt of the respective payments per contract.

Acceptance
The machine will be considered accepted once Juki Automation Systems standard speed and accuracy tests have been completed successfully according to Juki Automation Systems specifications.

Warranty
1. On Systems
Full warranty during the first year on parts and labor. Extended warranty on parts for the second and third year.The warranty period begins the day after installations, not to exceed two weeks after the shipment of the equipment from the Juki Automation Systems warehouse.
In case of machine down situation, material will be shipped by UPS Express (delivery within 24 hours to most European destinations).
After receipt of notice by fax from the customer, a Service Technician will be on-site within 24 hours (Monday to Friday between 08.00 - 17.00).

2. On Accessories and Options
a) Standard policy of one year on all new original accessories and options.
b) Extended three years warranty policy on original accessories and options purchased as a package with machines only.
c)  Desktop PC and monitor are covered in a one year warranty from the manufacturer.

3. On Spare parts
a) Six months warranty on all new original spare parts.
b) Three months warranty on all refurbished parts and no warranty for used parts.

4. On Refurbished systems
Three months warranty on used or refurbished systems or according to special agreements.

5. General warranty conditions
Guarantee will only be granted if Juki original parts and accessories are used which were bought from authorized Juki dealers. See dealer list under following link.

Defects due to mis-operation, missing or incorrect maintenance, defects due to external influences as well as  consequential damages (production loss, etc.) are exlcuded from the warranty.

Software Licenses
All JUKI software (Machine & Applications) remains the property of the Juki Corporation, Tokyo, Japan. Each Applications software (HLC, EPU, FlexlineCAD & others) acquired must be used in compliance with the license agreement and to be used with the appropriate hard lock software security system (dongle).
The customer, upon installation and acceptance of the ordered system, is granted a one-time, paid up and non-transferable license to use the machine software for its intended purpose.

Intellectual property
Juki Automation Systems AG is the owner of all intellectual property of all delivered Juki products and therefore has all rights to dispose of this intellectual property.
Any violation of these rights is prohibited and may lead to civil and criminal proceedings.

Validity
Quotations are valid for 30 days from the date of issue.

General
The "General Conditions for the Supply and Erection of Mechanical, Electrical and Associated Electronic Products" Orgalime SE 01 of September 2001, are to be taken into consideration.

Dispute and Arbitration
Any dispute or difference arising between the parties hereto shall be re-solved according to Swiss law.The application of the Convention on contracts for the international sale of goods (CISG) is excluded.The competent court in every and all respects shall be the court at the domicile of Juki Aurtomation Systems AG, in Solothurn/Switzerland.
